Adsrally is a performance commerce platform that helps brands turn digital traffic into measurable business growth. These Terms of Use ("Terms") govern your access to and use of the Adsrally website and platform (the "Service"), operated by Adsrally ("Adsrally," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Service.

1. Eligibility

The Service is intended for business use. By using the Service, you represent that you are at least 18 years old and that you have the authority to bind the business or organization on whose behalf you are acting, if applicable.

2. Acknowledgment

These Terms constitute the agreement between you and Adsrally regarding your use of the Service. They apply to all visitors, registered users, brands, channel partners, and any other party accessing the Service. Your continued use of the Service is conditioned on your ongoing compliance with these Terms and our Privacy Policy, which describes how we collect and handle information and should be read alongside these Terms.

3. Account Registration and Security

To access certain features of the Service, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information as needed.

  • Accept full responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that remain inactive for an extended period, or where we reasonably believe the information provided is inaccurate, incomplete, or used to violate these Terms.

4. Acceptable Use

You agree to use the Service only for lawful business purposes and not to:

  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to any account, system, or data.
  • Use automated means to scrape, harvest, or extract data from the Service without authorization.
  • Upload or transmit content that is unlawful, infringing, fraudulent, or misleading.
  • Impersonate any person or entity, or misrepresent your affiliation with one.
  • Use the Service to violate any applicable law, regulation, or the rights of any third party.

We reserve the right, but have no obligation, to monitor use of the Service and to remove content or restrict access where we reasonably believe these Terms have been violated.

5. Growth Partnerships Facilitated Through the Service

Adsrally serves as the conversion layer between brands and the digital commerce channels that drive their growth. Where the Service facilitates a relationship between two or more parties - for example, between a brand and a channel partner - the specific terms of that relationship, including growth targets, compensation structures, and campaign obligations, are governed by the separate agreement entered into between those parties, and remain subject to that agreement rather than these Terms. Adsrally is not a party to, and does not guarantee the outcome of, arrangements entered into between platform participants.

6. Intellectual Property

The Service, including its content, design, interface, trademarks, and underlying technology, is owned by Adsrally or its licensors and is protected by applicable intellectual property laws. Except as expressly permitted under these Terms or a separate written agreement, you may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

Any feedback, suggestions, or ideas you submit regarding the Service may be used by Adsrally without obligation to compensate you.

7. Third-Party Links and Content

The Service may contain links to third-party websites or services that are not owned or operated by Adsrally. We do not control and are not responsible for the content, privacy practices, or terms of any third-party sites. Accessing linked third-party sites is at your own risk, and we encourage you to review their respective policies.

8. Service Availability

We may update, modify, or temporarily suspend all or part of the Service for maintenance, security, legal compliance, or operational reasons. We do not guarantee that the Service will be available at all times or free from interruption.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Adsrally and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability arising from these Terms or your use of the Service will not exceed the amount you have paid to Adsrally, if any, in the twelve months preceding the claim.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify and hold Adsrally, its affiliates, officers, and employees harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your violation of these Terms, misuse of the Service, or infringement of any third-party right.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if continued access poses a risk to the Service, other users, or Adsrally. You may also stop using the Service and close your account at any time. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

13. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the Service.

14. Governing Law and Disputes

These Terms are governed by applicable law without regard to conflict-of-law principles. If you have a concern or dispute regarding the Service, we encourage you to first contact us directly so we can work toward an informal resolution.
